Description •The Assistant Division Counsel, M&A will work on a broad range of day-to-day M&A activities, including acquisitions, joint ventures and investments. Major Responsibilities: •Contract drafting, negotiation and legal due diligence for select deals. •Identify legal and business risks and propose and implement solutions. •Develop and implement a more systematized, process-based approach to the legal M&A function at Corning.
Competencies: •Must be an experienced M&A attorney who has worked in a major law firm. •Quick learner, able to manage multiple priorities, and extremely clear communicator. •Ability to balance numerous short-term and long-term responsibilities, including prioritizing same on a day-to-day basis. •Willing to work on the smallest and simplest, as well as the most complex, legal matters. •High integrity and ethics in all dealings – internal, external, and personal
Qualifications: •J.D. from an accredited law school, preferably one recognized for graduating top lawyers. •Top academic performance. •5 or more years of M&A practice preferred. •Major law firm experience.
