The Counsel will work under the direction of the Managing Director and Head of Retail and Funds Legal and with other attorneys and legal staff principally to support all registered funds in the Fund Complex, sub-advisory mandates and related distribution matters. Additional responsibilities may extend to providing effective legal support for other product lines in the Retail space, including 529 plans, managed ("wrap") accounts and CITs and review and negotiation of contracts with fund intermediaries and vendors. The successful candidate will work closely with management, the compliance team and other internal and external parties (including fund and independent trustee counsel) in connection with the legal support of the fund family, the handling of regulatory issues and general legal matters as assigned by the Head of Retail and Funds Legal or another senior attorney.
Provide legal advice and support on issues relating to registered (open- and closed-end) funds, with particular emphasis on registration statements, shareholder reports, proxy statements, fund board material generation and review, collaborate on projects with compliance, operations, portfolio management and trading staff, advisory and distribution contracts, product development, marketing and sales practices.
Support the firm's third-party and affiliated sub-advisory business, with an emphasis on legal review of prospectuses, SAIs, other offering material and 15(c) responses and providing legal advice to Compliance in connection therewith.
Provide project management and coordination in all matters relating to the preparation of materials for board meetings.
Draft organizational documents, board memoranda and resolutions, minutes, investment management agreements and service contracts.
Work closely with management, compliance, operations and fund administration teams to handle regulatory issues and general legal matters.
2 - 4+ years of legal experience within the asset management industry (in-house and / or at a law firm) including a focus on mutual funds and retail channels of distribution. Must have strong understanding of Investment Advisers Act of 1940, Investment Company Act of 1940 and Securities Act of 1933.
