Franklin Templeton Investments is looking for an attorney to provide support on a wide variety of matters, including executive compensation, employee compensation plans, corporate and securities law. The attorney will report to a Senior Associate General Counsel and be based in San Mateo, California. The attorney will be a key partner to the compensation team and will be expected to collaborate with Human Resources, Stock Administration, Finance, Tax, Payroll and Benefits teams.
Advise on executive and broad-based compensation plans and programs and related corporate governance matters
Assist with the preparation of materials for meetings of the Compensation Committee of the Board of Directors
Prepare compensation disclosure items such as the CD&A and overall proxy statement
Advise the HR compensation team on issues related to employee stock plans and compensation programs generally
Research legal principles and precedents, consult with outside counsel, draft legal documents, gather relevant information using multiple sources and methods
Provide work guidance to paraprofessional and support staff
Draft plan amendments, summary plan descriptions, plan information statements, and equity award agreements
Monitor changing legislation and regulations effecting employee benefit plans to ensure documents for those plans are up to date with these changes and the plans are administered consistently
Provide advice and counsel to HR and business units on a wide range of benefit issues, company policy, practices and procedures
Assist with SEC and other regulatory filings, reporting and disclosure obligations, including Forms 8-K, 11-K, 10-Q and 10-K and State filings
Advise on proposed changes to company policies, practices and business operations
Preparation for annual meeting of stockholders and drafting of proxy statement
Administer related persons policy and procedures
Work on special projects; draft contracts, other duties as assigned
Qualifications Ideal candidates will have:
Ability to work a reduced weekly schedule if desired and willingness to adjust hours according to peak busy times as needed.
Possess a juris doctorate and a license to practice law in California
Minimum 5 years securities or corporate law experience in a law firm or in-house legal department, with a focus on compensation and benefits
Superior academic credentials, exceptional references, excellent verbal and written communication skills, strong organizational abilities, and a commitment to excellence and integrity
Strong technical knowledge of relevant federal tax and securities laws (IRC, '33 and '34 Acts, Sarbanes-Oxley, Dodd-Frank) and general familiarity with applicable foreign laws related to employee stock plans in non-US jurisdictions is preferable
Computer skills used in or related to the tasks performed
Exercises discretion and maintains confidentiality of sensitive information
Project management skills and the ability to manage a team and work through others to complete projects
Able to interact with all levels of personnel and supervise/oversee the work of more junior colleagues
Familiarity with investment adviser and/or investment company industry a plus
