This position will be responsible for providing legal support to the Seeds Platform in North America, including specifically the Integrated Operations team responsible for seed production and supply across North America, the PHI Finance team, responsible for providing financing options for the company’s seed and crop protection customers across North America, as well as providing legal support for the sourcing and real estate functions, amongst other responsibilities. The successful candidate should have strong experience and background in drafting and negotiating complex commercial agreements and transactions, be able to collaborate across legal and business teams to drive successful conclusions to business arrangements and be able to handle multiple and varied legal work on timely and efficient basis. Background in secured transactions, bankruptcy, credit workouts, etc., a plus. This role is based in Johnston, Iowa and may require some travel.
Working independently, provide timely and efficient legal services to the Seeds Platform business on commercial and transactional matters.
Take lead in devising negotiation strategies, as well as assist business in the negotiation of complex business arrangements.
Promptly draft, review and negotiate a wide range of commercial agreements and financial instruments.
Actively participate as a member of number of leadership management teams including Integrated Operations.
Provide (directly or in cooperation with others, such as other AgCo in-house counsel, outside counsel or AgCo Ethics and Compliance) client education and training on critical issues.
Manage and direct outside counsel to ensure the most effective and efficient utilization of resources to support client objectives.
Consistently anticipate, guard against, and propose mitigation strategies for the management of potential contractual, compliance and financial risks.
