As a key member of the legal team, reporting to the General Counsel, the Deputy General Counsel will provide business and legal perspective and advice on a wide range of strategic, tactical and operational issues including, but not limited to: corporate governance, government contracts, commercial transactions, regulatory compliance, litigation, and other general legal matters. The Deputy General Counsel will provide leadership, direction, and development of contracts by drafting, developing, implementing and maintaining contracts and subcontracts consistent with FAR and DFARS requirements and industry best practices, including systems, policies, processes and procedures to develop all contract and subcontract related activities. The Deputy General Counsel will manage a team of contracting and subcontracting experts. Experience in Foreign Military Sales (FMS) and Direct Commercial Sales (DCS) of US based military hardware is an added plus.
DUTIES AND RESPONSIBILITIES include the following.
Develop and execute strategies for the full cycle of all contracts and subcontracts, from requirements to execution and administration. Develop a high-performing contracts team and building contracting awareness and capabilities across the Organization. Manage contract department priorities and team assignments to meet organizational objectives and defined timelines. Direct the development and negotiation of complex agreements with customers.
Review and resolve issues affecting company regulatory compliance (FAR, DFARS, ITAR, FCPA, FAA), ensuring satisfaction of legal requirements, company and customer objectives.
Participate in negotiations, oral discussions, and debriefs. Interface with DCAA and other auditors and oversees audit process. Oversee the contract administration process and interface with the DCMA.
Assist with company compliance with existing regulatory and contractual obligations.
Advise on and support corporate policy development.
Prepare and oversee risk analysis and participate in competitive analysis.
Assess, implement and promote awareness of regulatory changes (FAR / DFARS / ITAR/ FCPA/ FAA).
Serve as an advisor in procurement planning and preparation, government meetings and contract work efforts for compliance activities and needs.
Identify and organize team resources responsible for implementing contract strategies.
Work on special projects. This project work normally involves research and recommendations on matters having company-wide significance.
Plan strategies for solving various legal and business problems, as well as provide legal advice to management.
Oversee litigation support activities such as e-discovery, data collection and processing.
Advise on use of company trademarks and copyrights and trademarks of others; manage company trademark and domain names portfolio.
Carry out supervisory responsibilities in accordance with the organization's policies and applicable laws.
SKILLS AND ABILITIES
High degree of technical knowledge relative to negotiation and administration of government contracts.
Expertise in drafting, negotiation and administration of all contracts, including FMS contracts and DCS contracts.
Experience leading government contracts team.
Demonstrated project management skills. Ability to lead multiple small, medium and large projects simultaneously through all phases of the project lifecycle, including detailed project schedules, tasks lists and status change reporting.
Proven track record in developing and implementing contracting strategies with the government, that meet business objectives.
Basic understanding of financial/accounting analysis including ability to develop cost-benefit analysis for various scenarios.
Strong interpersonal and communication skills (written and verbal) with the ability to produce and deliver presentations to a wide range of audiences.
Demonstrated experience with Microsoft Office Programs (Word, Excel, PowerPoint, Visio, etc.). Intermediate skills required in Excel and PowerPoint.
Leadership ability and strong goal attainment orientation.
Excellent analytical and negotiation skills.
Self-starter, possessing high degree of self-motivation, bias for action.

EDUCATION and/or EXPERIENCE
Bachelor’s degree and a Juris Doctorate degree from a top school, MBA is a plus.
12 to 15 years post law school experience, in-house experience is preferred. You must have progressive experience in drafting, negotiation and administration of government contracts.
Demonstrated understanding of government contract law, including ITAR, FAR and DFAR regulations.
Experience managing litigation.
Experience managing contract administrators or other related management experience.

Requires membership in the State Bar as an attorney qualified to practice law in one of the 50 states and the ability to qualify to practice as an in-house lawyer in the state of AZ with Juris Doctorate from accredited law school.
