Counsel for the Company Law group working on corporate governance-related matters for the Firm's two U.S. national bank subsidiaries.
-Advising on corporate governance of the banks, including preparation and organization of materials for board and committee meetings, compliance with OCC, FDIC and other applicable governance requirements and governance best practices. -Drafting of board and committee meeting minutes, charters, and resolutions and interacting with the banks' senior officers and directors regarding governance and regulatory matters, including director independence.
- J.D. Class of 2015 or earlier with law firm or in-house experience. -The candidate should have excellent writing, organizational and interpersonal skills as well as general knowledge of the financial services industry. - The candidate should be detail-oriented and know how to identify matters requiring escalation or special attention. -The position is an officer position that requires a level of experience and maturity to be able to exercise sound judgment, work independently and juggle a variety of responsibilities.
Governance, bank regulatory or financial services experience will be a plus, but is not required.
