ILS is seeking to fill the position of Senior Attorney, Contracts Director reporting to the Vice President General Counsel.
This highly visible position will provide strategic leadership, management oversight, direction and guidance to the legal and contracts function with the ability to influence decisions that significantly impact ILS’ success. Analyze and communicate new and existing laws, regulations, and contract and market trends to management. Develop successful working relationships with external and internal customers, vendors and senior management. The demonstrated ability to strike sensible and practical balance between legal risks and the need to do business.
This position may require international / domestic travel up to 20% of the time.
The responsibilities include…
Manage the complete function of complex international commercial agreements in accordance with company policies and procedures, applicable laws and customer requirements while maintaining the highest ethical standards throughout the contract process.
Support and provide counsel on Delaware corporate governance matters. Serve as Acting General Counsel in the absence of the primary.
Review and approve new business relationships with vendors and subcontractors,
The preparation, execution and maintenance of Non-disclosure agreements with potential customers, underwriters, subcontractors and vendors.
Analyze and Advise on U.S. Export Administration Regulations and requirements, Department of Treasury Sanctions, corporate registration and compliance requirements, contractual provisions and dispute resolution.
Assist in preparation and execution of Board of Directors and Shareholder meetings, including preparation of meeting agendas, materials and minutes.
Represent the company before government agencies, administrative boards and courts as required, prepare and file government reports.
Administer the company’s programs on Office of Foreign Asset Control (OFAC) and Foreign Corrupt Practices Act (FCPA).
Maintain, formulate and draft various internal company policies and various legal documents to guide employees on all regulatory and compliance matters, also administer training workshops.
Administer outside counsel hired to assist ILS with specialized legal services.
Prepare commercial price proposals, negotiate high-value agreements and managing customer relationships, performing post-execution contract management, problem solving, identifying risk exposures, coordinating and responding to launch insurance inquiries and issues as well as complex inquiries regarding contract obligations and revisions.
Staying abreast of contracting and legal developments affecting the company, its clients, and the industry allowing for current advice on compliance matters.
Prepare and disseminate information regarding contract status, compliance, modifications to ensure all terms and conditions are met.

Nice to Have Skills Include:
knowledge of Delaware corporate laws will be highly regarded.
interest in space, rockets and satellites a plus.
Minimum 6 years of professional experience in applicable contracting experience.
Solid transactions, contracts drafting, and negotiation experience.
