Legal – This unit contributes to Orion Health’s purpose by ensuring the company operates within the law at all times, provides expert strategic advice to management and facilitates business strategy development.
General Counsel, other Legal Counsel, Regional/Sales/Commercial Leaders, Outside Counsel, Cusomters.
Responsible for ensuring the company is complying with corporate governance obligations.
8+ yearsof experience Advising on commercial, corporate, litigation, property and other legal matters as they arise, including structuring, drafting and negotiating client service agreements, technology and licensing agreements, Software as a Service (SaaS) agreements, OEM agreements, reseller/distribution agreements, professional services agreements and statements of work.
Assist with legal department projects as assigned, including improving various legal precedents on a regular basis
Provide day-to-day counsel on a broad range of legal issues, including intellectual property, regulatory compliance (HIPAA, HITECH and other healthcare and privacy laws), employment law and real estate matters.
Actively participates in any training required, either self-study or structured
Minimum of 3 years large law firm and/or corporate counsel experience, with a focus on licensing and healthcare preferred
Experience negotiating and drafting a variety of technology, licensing and client service agreements, including software, OEM and reseller agreements
Healthcare experience is preferred, including knowledge of HIPAA, HITECH and other healthcare and privacy laws
Ability to work outside of normal business hours to support offshore projects
Strong analytical and communication skills with proven attention to detail
Ability to multi-task and produce high quality work in a fast-paced environment
Must be a self-starter and demonstrate superior professionalism and integrity, good business judgment
Good sense of humor
JD from ABA accredited law school and admission to the bar
Excellent academic credentials desired
