Draft, review and make recommendations for the revision and/or acceptance of contracts, agreements, standing terms, customer's terms and conditions and any kind of legal documents and attend meetings with customers providing support to Sales and business units.
Provide counsel to sales and BU management in addressing a broad range of legal and contractual matters, seeking appropriate guidance from peers and managers when necessary.
Review and address legal, regulatory and policy enforcement issues arising in the current normal course of business and provide appropriate legal advice.
Assisting with Corporate Secretary process for Latin America region:
Interact with Notary Publics and public institution for corporate secretary process and questions.Support legal counsel in the interaction and coordination with E&Y for corporate secretary annual statutory compliance and maintenance of GEMS.
Organize signatures between officers in USA and LAR respectively.
Coordinate the execution of new proxies' requests and restructuring of legal representatives and proxy holders in the subsidiaries, being the liaison between HR, In house counsel and outside counsel to complete the requests within the timeframe expected. The timing varies per countries legal institutions.
Review corporate documents prepared by outside counsel, such as: Powers of Attorney, Board Resolutions, shareholder consents, among others, to verify information accuracy, compliance with Rockwell's standards and DOA.
Prepare corporate secretary documents for Bidding process, adjudication or due diligence process as required per the local teams and clients.
Responsible to maintain the Proxies and Competencies database. Being the main point of contact for information regarding signatories and legal representatives.
Education Required: Bachelor's degree in law.
Five plus years of law firm or in-house legal experience is preferred, particularly with companies or firms in the Latin America region. Demonstrated proficiency with Microsoft Office Suite, SharePoint and database management, generally, is required.
Must have the ability to grasp financial concepts.
In addition, candidate must demonstrate: strong intellect; excellent verbal and written communication skills; high energy, strong work ethic, ability to manage multiple priorities; strong analytical and problem-solving skills required to develop creative solutions to business relationships and uncompromising ethics.
Prior legal experience, specifically in the areas and job duties identified above.
Fluent in English and Spanish (with additional Portuguese language skill a plus).
Experience and ability to organize and manage numerous electronic and paper files.
