Provide legal advice to management and other departments within the firm on all aspects of the firm's business.
Work with internal investment, operations, compliance, and risk teams on developing and refining process and strategy.
Draft and negotiate Investment Management Agreements and Investment Advisory Agreements with clients.
Organization of new special purpose (e.g., single investor and single manager) vehicles; maintenance of existing special purpose vehicles (including (i) legal, regulatory and tax structuring, and (ii) drafting limited partnership agreements, shareholder agreements, and associated offering documents).
Oversee the execution of corporate deadlines and maintenance of corporate records.
J.D. degree required
Licensed to practice in the Commonwealth of Massachusetts.
At least 8 years of experience as a corporate attorney at a top law firm, or a combination of law firm and in-house experience.
General experience in the following areas of law preferred: employment, ERISA, contract, litigation, general business and corporate tax, and corporate transactions.
Experience representing institutional clients and/or managers in alternative investment primary, secondary, and direct (co-investment) transactions, in particular private equity, venture capital and real estate funds preferred.
Alternative investment fund formation experience helpful.
Ability to communicate and interact with peers and external contacts in an effective, tactful and professional manner.
Ability to assume responsibility for multiple projects and resolve them effectively with a minimum of supervision.
Ability to deal discretely with sensitive, confidential information concerning clients and corporate affairs.
Good judgment, leadership skills and delivery-oriented attitude.
