The Chief Global Transactions Counsel is responsible for providing well-reasoned, professional legal advice to Wabash National Corporation and its subsidiaries (“Wabash National”) on a wide-range of transactional business-related matters with the intent of ensuring compliance with laws, regulations and policies affecting Wabash National, and minimizing associated business and legal risks/liabilities. This position (which for the right candidate could be a dual role with M&A and Business Unit lead lawyer work) will be the lead legal advisor for all M&A related activities for Wabash National and will work closely with the Senior Executive Team and VP of Strategy.
Essential Duties and Responsibilities:
Negotiate, prepare and work with (as necessary) outside counsel on merger, acquisition or divesture type agreements including, but not limited to purchase or sales agreements, joint venture agreements, letters of intent, real estate sales/purchases and all related documentation
Work closely with corporate and business unit leadership to provide pro-active legal services to Wabash National. This will include, in some instances, sitting on Business Unit or other senior leadership teams.
Manages and supervises legal review of material commercial transactions with Wabash National business teams, to include necessary drafting, negotiation and execution of agreements
Works with business teams to draft and implement standard contracting operating procedures, review processes, delegations of authority and terms and conditions for use by the Company’s business units
Counsels business teams in conjunction with, and participates in the drafting and negotiation of, commercial agreements regarding sales, distribution, purchasing, supply chain and employment issues
Conducts training for the business teams to educate Company employees regarding laws and regulations affecting the business, risk identification and mitigation in and conflict resolution in the commercial setting
Anticipates and mitigates potential legal problems within the organization and develops strategies to avoid costly litigation and reduce potential areas of risk
Experience with government contracting, export control, applicable regulatory and/or compliance requirements and risks is a plus.
Works closely with the Legal and Business teams to develop best practices, policies and procedures
Performs other job-related duties as assigned
Education Requirements: Juris Doctor Degree from an A.B.A. Accredited Law School
Knowledge, Training, Skills and/or Experience:
Extensive legal knowledge
Subject matter expert on legal matters, particularly commercial transactions and mergers & acquisitions
Public company/SEC knowledge helpful, but not necessary
Must possess sound judgment, excellent communication skills and the ability to partner with senior leaders
Must enjoy working in a team environment and have a collaborative work style
Must be a self-starter who will take the initiative to get things done, improve current practices and make suggestions
Must possess at least 8 years of experience practicing law as an attorney at a high quality law firm and in an in-house counsel environment. Public company in-house experience is a plus, but not a requirement.
Must have experience counseling clients/colleagues on complex commercial transactions, including mergers & acquisitions, in business and/or regulatory risk mitigation strategies, and a wide variety of legal issues.
Must have experience managing other attorneys or paralegals, delegating and guiding the work of others, and creating and managing legal budgets.
Experience counseling clients in the transportation or heavy-manufacturing industries and/or public company clients is preferred, but not mandatory if relevant experience in a different industry has occurred.
Individual must be able to work independently, flexibly and with an appropriate level of urgency.
Must be able to manage multiple projects simultaneously; demonstrate ability to take initiative in crafting creative solutions to business problems; and a demonstrated willingness and aptitude to develop new skills and subject matter expertise.
Must work effectively as a team member; ability to work as a strategic and responsive business partner with colleagues is critical. Flexibility, resiliency and the willingness to solicit the input of others is critical.
Must be licensed to practice law before the highest court of any state with eligibility for admission to the Indiana bar within six months of employment
