Amazon.com is seeking a Senior Corporate Counsel to support corporate governance and SEC reporting, insider trading issues, and compensation and benefits. This position also includes providing support for proxy statements and annual meetings. The new Senior Corporate Counsel will work actively with internal clients in Human Resources, Tax, and Stock, as well as senior executive team members. Such candidate will also need to demonstrate experience working directly with, and exercising judgment advising, executives on complex matters, and must be flexible and willing to work extended hours when necessary. The ideal candidate will have strong experience in corporate governance (including Board and Committee support and Delaware corporate law), SEC reporting, proxy statements and annual meetings, Section 16, and compensation and benefits (including equity compensation). The position is located in Seattle, WA.
-10 plus years of attorney experience; · At least 5 years of law firm experience; and · J.D. degree and membership in good standing in one state bar.
