SUMMARY OF BASIC JOB FUNCTION
As part of a dynamic legal department, provide assistance and input on a variety of issues that arise in the fast-paced environment of an industry leading and innovative publicly traded company. Together with paralegals and other attorneys, help manage a wide range of matters in the areas of general corporate law and governance, including working closely with legal department and company management.
CORE JOB DUTIES
The following shared duties and responsibilities reflect some of the types of matters that you might be involved in at a level commensurate with knowledge, experience and/or aptitude:
Handle matters and help oversee paralegals in subsidiaries management, including:
Corporate entity formation, qualifications to do business, withdrawals, dissolutions, mergers, conversions, and legal name changes
Prepare subsidiary resolutions, minutes, stock and other certificates and corporate documents
Maintain minute books and other corporate records, and maintain electronic database of corporate information for more than 1,400 subsidiaries
Draft, implement and administer various corporate policies and procedures, such as those applicable to signature authority, and financial commitments and disbursements
Assist with internal Disclosure Committee quarterly process to gather information needed for preparing SEC quarterly and annual reports
Possibly assist with preparing, reviewing and/or filing Section 16 reports on Form 4
Duties as assigned from time to time depending on need, including:
the parent company’s board and committee meeting planning and approvals
due diligence related to and other aspects of corporate financing transactions

Position will be located in El Segundo, CA business office (former headquarters)
Local, onsite candidates preferred
Potential flexibility for working remotely part of the week after settling into the position
JD from an accredited law school
Attorney admitted to practice law in California, or eligible to practice as a registered in-house counsel in California
2 - 4 years’ total combined experience with law firm and/or in-house legal department
Prior experience in or basic understanding of some of the types of matters described above under Core Job Duties is highly preferred
