Responsibility for providing legal support to the EMEA Operations division, including particularly the Global Network Management ("GNM") function which is responsible for managing the Firm`s relationships with custodians and financial market infrastructure entities (e.g. central depositories and settlement systems). Operations partners with Sales & Trading, Finance, Legal, Compliance and Technology to execute the Firm's institutional, retail and asset management businesses and the role provides exposure to a wide range of product areas including Prime Brokerage, Listed Derivatives, OTC Client Clearing, Equities, Fixed Income, Currencies and Commodities. The role holder would therefore be expected to interact as required with the coverage lawyers, compliance staff and risk managers in those business areas. The role is based in London as the majority of the responsibilities would relate to GNM relationships in EMEA, however there may also be involvement in global initiatives or cross-jurisdictional issues. The role reports to a Managing Director in the EMEA Corporate Advisory Legal team. Primary Responsibilities
Advise and support GNM in relation to the negotiation, periodic review and updating of custody agreements and ancillary documentation (powers of attorney, clearing agreements, service level agreements etc);
Review and assist in negotiating market infrastructure documentation;
Maintain relevant documentation templates and policies, ensuring consistency of approach globally;
Advise on, together with Compliance, client asset and client money rules, including participation in relevant governance forums;
Provide legal advice to the GNM due diligence teams located in Mumbai;
Advice and support GNM in relation to on-going legal, regulatory and client relationship matters, working with Compliance and relevant legal coverage teams;
Provide legal advice to the Operations division in the context of UK withdrawal from the EU and the implementation of the Firm's future operating model;
Support the Operations division on legal and regulatory issues (e.g. relating to cash and securities settlement, tax, position services/corporate actions, payment services, disclosure of interests);
Advise on legal and regulatory change relating to custody, financial market infrastructure and operations generally;
Work with Operations lawyers in other jurisdictions and relevant coverage lawyers in relation to Operations legal issues;
Review legal advice prepared by local counsel as required, working with coverage lawyers to resolve issues.
The role sits within the EMEA Corporate Advisory Legal team which provides coordinated advice and support to the Firm's UK boards of directors, the EMEA management team and key control functions on governance, legal entity management, internal controls and related regulatory/best practice issues. The team also provides advice & support in relation to strategic transactions and initiatives impacting EMEA. Depending on business requirements / candidate's skill set there may therefore also be opportunities to become involved in the wider work of the team.
Approximately  plus years' PQE at a leading international law firm or in-house at a leading financial institution
Experience in custody / settlement / market infrastructure matters
Ability to tackle new areas of law without prior experience
Ability to work under pressure without compromising quality;
Ability to impact and influence senior colleagues, with excellent communication skills, written and oral;
Proactive, highly organized, able to prioritize and manage multiple tasks;
Team player but able to work independently to drive matters forward.
