Under the Corporate Secretary, the Corporate Governance team is responsible for supporting Board of Director activities and the annual shareholder meeting. Corporate Governance is also responsible for public disclosure of major corporate actions; corporate compliance with laws, regulations and best-practices; and legal administration of corporate debt and equity actions.
As a Corporate Governance Reporting Analyst, you will be responsible for providing analysis and timely preparation of corporate public filings, Board of Director and Committee support, and debt and equity financing support. This position routinely requires professional communication with executive personnel and senior attorneys.
In this role, you will be proactive, organized, have excellent attention to detail and be a great communicator. You will also provide subject matter expertise in the performance of analytical and administrative tasks. You will demonstrate the ability to identify issues, conduct benchmarking research and make recommendations. You will coordinate with stakeholders to compile public disclosure data and transfer information to documents for timely public filings.
This position reports to the Manager responsible for public filings, debt and equity activities, and proxy administration.
Perform as lead analyst for analyzing, drafting, and filing reportable corporate activities to the SEC and FERC:
SEC public disclosure filings include Forms 10-Q, 10-K, 8-K, 11-K, S-3, and S-8.
FERC public disclosure filings include relevant portions of Form 1, 561 and 3Q.
Perform as lead analyst for Insider Trading administration and provide notices to executives and others regarding trading permissions.
Provide Board of Director and Committee support by maintaining and publishing the Board and Committee Master Calendar which ensures required action items are addressed at Board and Committee meetings in a timely manner.
Provide document preparation, in a lead or support role, for a variety of corporate debt and equity financings.
Mitigate risks through superior attention-to-detail, communication and organizational skills.
Provide support to team in preparation for Board / Committee meetings.
5 years of combined experience in an analytical, legal, compliance, or administrative position that required excellent attention to detail.
Bachelor’s degree in business administration, finance, or related field.
Experience supporting attorneys.
2 years’ experience as a Corporate Governance analyst with a publicly traded company.
2 years’ experience preparing and filing public disclosures with the SEC.
1 year experience administering an Insider Trading program and drafting / publishing notices.
1 year experience filing public disclosures using Workiva (or similar) software.
1 year experience conducting analysis in support of debt and equity financings.
