Assistant General Counsel - Transactional: The successful candidate will have approximately three (3) to five (5) years of corporate transactional legal experience in a top law firm, with particular experience with: (i) a broad variety of general corporate and transactional matters, (ii) structuring and forming legal entities, (iii) corporate governance, (iv) commercial and financial transactions, and (v) review and negotiation of a broad variety of contracts. Experience working in a regulated field preferred, and experience or expertise in one or more of the following areas is preferred but not required: 1) compliance and development of corporate policies, 2) charitable organizations, 3) government contracts, 4) employee benefits, 5) export control, 6) intellectual property, and 7) real estate. The Assistant General Counsel â“ Transactional will initially support the senior transactional lawyers in the Office of Legal Counsel, will liaise with various units and affiliates of the University, and will take on additional and independent responsibilities over time. The Assistant General Counsel â“ Transactional must be comfortable learning new areas of law and able to grow into the role of being a trusted advisor on the myriad of matters a complex institution like the University faces. In addition, the successful candidate must have a high capacity to collaborate in diverse environments and build relationships, handle matters involving issues in practice areas with which the candidate may not have previous experience, and provide practical and credible guidance throughout the University community. This position will report to the General Counsel and will work directly with the senior transactional attorneys in the office.
The job uses legal expertise, best practices and knowledge of University policies, structure and culture to provide legal counsel facilitating goals across units and protecting the University's reputation and business interests. The legal office negotiates and resolves unique and complex issues to promote compliance with all relevant laws and regulations and University policies.
1) The Assistant General Counsel â“ Transactional uses breadth and depth of knowledge to counsel on a broad range of legal matters as requested, solves complex problems, and advises University clients on the legal implications of University initiatives, decisions, and policy changes. The successful candidate enjoys working independently and will act as a resource for University colleagues with less experience.
2) The Assistant General Counsel â“ Transactional advises University clients on recent changes in laws and regulations that affect the University, and recommends process improvements to ensure compliance with laws and regulations.
3) The Assistant General Counsel â“ Transactional acts as a liaison with outside legal firms as appropriate.

1) Juris Doctor degree from a strong law school required.
2) Admission to the Illinois Bar, or eligibility for admission within six months of notification of employment required.
