Position title: Associate General Counsel
Reports to: General Counsel, Secretary to the Board and Chief Compliance Officer
Location: Palo Alto, CA
This position will serve as the primary contact for several of the foundation’s administrative and programmatic teams. To succeed, this role must function as both a skilled generalist in the foundation context and a content expert in one or more specific legal areas affecting the foundation. Examples of responsibilities include: advising staff on the federal and state tax rules that apply to the foundation’s grantmaking and direct charitable activities; serving as the primary contact for assigned administrative teams; and reviewing complex grant agreements, consultant agreements, and other significant contracts.
The responsibilities of the Associate General Counsel are varied but are expected to include the following, as requested by the General Counsel:
Advise on Laws Applicable to Private Foundations
Counsel staff on the legal rules that apply to the foundation’s grantmaking and direct charitable activities at federal, state, and international levels, with particular emphasis on the federal tax laws governing private foundations.
Serve as the primary contact for program staff making grants; provide advice on various legal tools, vehicles, and approaches and introduce new ones to staff; review grants for legal compliance.
Oversee work on “expenditure responsibility” (ER) and “equivalency determination” (ED) grants.
Advise, monitor and provide training to program staff on legal issues in grantmaking, including compliance with federal and state lobbying laws; the rules for fiscal sponsorship and regranting; and the prohibition on campaign intervention and payments to government officials.
Work directly with program staff to complete legal due diligence on grants.
Serve as the Legal Primary Contact for Several Operational Teams
Serve as the primary contact for assigned administrative teams.
Respond to requests and proactively provide legal services to these teams; and support other Foundation teams as requested.
Maintain Legal and Compliance Infrastructure
Monitor and train staff on key legal rules applicable to the foundation’s programmatic work and operations.
Develop and maintain user-friendly legal policies and procedures, and standardized templates for legal due diligence.
Review Grant Agreements and Contracts
Assist and counsel staff in the process of evaluating, constructing, and negotiating contracts; draft, review, and negotiate a broad range of grant, consulting, and real estate agreements; responsible for maintaining rules and procedures for contracts.
Work with program and grants administration staff to draft non-standard grant agreement terms and conditions and memorandums of understanding.
Conduct Legal Research and Analysis
Conduct research and analysis of specific legal questions and prepare memoranda setting forth research results, recommendations, and conclusions, including proposed implementation plans for user-friendly internal systems and policies.
Work effectively with outside counsel.
Stay up-to-date on relevant developments in areas of the law affecting the foundation.
Foundation Projects and Other
As requested by the General Counsel, working on foundation-wide projects and cross-functional teams.
Experience and Qualifications:
J.D. with a minimum of seven years of relevant legal experience.
Significant experience with laws applicable to 501(c)(3) tax-exempt organizations is required, and experience with laws applicable to private foundations is preferred.
Experience working independently with clients, as well as collaboratively with other members of the legal team and foundation.
The ability to resolve problems creatively and effectively, identify underlying issues, recognize patterns and trends, develop comprehensive solutions to recurring issues, and apply relevant expertise and experience to diverse legal questions.
A license to practice law in California is preferred. If not admitted in California, the candidate must be eligible to register as In-House Counsel with the State Bar of California.

The legal team helps the foundation advance its mission by providing solutions-oriented, high-quality, legal advice and counsel. Our team of professionals provides legal advice and services to the foundation’s board, leadership and programmatic and administrative teams. We work on a wide range of matters, including compliance with federal and state tax laws and regulations; complex and international grantmaking; general corporate and operations issues; business transactions; employment law, intellectual property, and real estate matters. Through the General Counsel, we support and advise the Board of Trustees and its committees on matters relating to governance and programs.
