The Corporate Counsel, Officer provides legal counsel to the bank in a variety of areas, including acting as a key resource for general in-house legal questions, reviewing and negotiating contracts with third party vendors, revising bank agreements, forms, letters, and operational procedures, preparing bankruptcy documentation, and responding to subpoena requests.
Research various areas of the law and develop and update bank agreements, forms, letters, and procedures as necessary
Provide legal guidance and prepare agreements, procedures, and other documents necessary for the implementation of projects throughout the bank
Review and negotiate vendor contracts, leases, and agreements
File proof of claims, reaffirmation agreements, and other necessary documents in bankruptcy cases
Manage the bank’s response to third party subpoenas
Prepare necessary corporate governance documents
Assessment and Response to General Bank Issues:
Assess and respond to legal questions relating to various subjects, including required deposit account documentation, electronic banking, and title work
Research new developments in the law and their application to bank policies, procedures, and forms and provide training on new laws and regulations when necessary
Enhance professional growth and expertise through participation in seminars and workshops. Maintain professional affiliations to keep informed of developments and trends in banking law
Participate in appropriate bank events and community associations
Assist in the support of other bank activities as requested
EDUCATION AND SPECIAL REQUIREMENTS:
Juris Doctorate degree from an ABA accredited law school and license to practice law in the State of Iowa.
5-plus years of related legal and bank experience, prior experience in private law practice or other transactional business environment preferred.
Current working knowledge of banking operations, laws and regulations is preferred.
License to practice in the U.S. Federal and Bankruptcy Courts for Iowa preferred.
This job requires skills needed in a typical office environment. This includes computer skills as well as utilization of office equipment.
