The University of Pittsburgh, Office of University Counsel ("OUC") is seeking an Assistant Legal Counsel who will support various attorneys within OUC with drafting, reviewing and negotiating various business and commercial contracts and transaction-related agreements, conducting legal research, and advising University clients about regulatory compliance and legal risk.
The Assistant Legal Counsel will provide legal counsel and strategic advice on real estate, corporate and transactional matters, including drafting, reviewing and negotiating commercial contracts and transaction-related agreements as well as advising on corporate formation and governance. Specifically, the Assistant Legal Counsel will be tasked with drafting, reviewing and negotiating documentation in a wide array of legal areas, including the following: real estate transactions, including acquisitions and commercial leases and licenses, agreements related to the purchase and sale of goods and services, collaborative agreements, licensing agreements, technology agreements, affiliation agreements, corporate filings, probate documentation, donation agreements, credit facilities and other banking agreements, class action recovery documentation and agreements related to domestic and international transactions.
In addition, the Assistant Legal Counsel will provide legal counsel and advice concerning the proper interpretation and application of statutes, regulations and University policies.
The Assistant Legal Counsel will also provide guidance and legal advice that assesses the legal risks involved in each transaction.

Strong oral communication skills, with an emphasis on successfully negotiating with counter-parties and opposing counsel to represent the University's interests. Excellent analytical and research skills, both in legal and factual matters. Creativity in the practice of law by identifying ways to improve University processes and procedures and advising University departments about how to comply with laws and avoid potential litigation.
Adaptability and Flexibility Regarding Change: Periodic review of applicable reading materials and participation in annual conferences are encouraged to keep abreast of constantly changing areas of the law.
Ability to Work with Others: Must have superior interpersonal skills; ability to cooperate with clients, professional colleagues (inside and outside the University), staff and other individuals or their attorneys in an atmosphere of adversity. Must exhibit a willingness and desire to contribute to the general welfare or effectiveness of the University and enhance the reputation of the University in the community.
Quantity of Results in a Given Time: Must provide advice promptly and within a timeframe that allows the client to take appropriate action, even when request is made with short notice. Will often be required to handle multiple matters simultaneously. Deadlines of courts and governmental agencies must be strictly adhered to and managed.
Law firm and/or in-house legal experience preferred. Must be a member or eligible to become a member of the Pennsylvania Bar.
