Work closely with the Prime Services business to provide advice on legal and regulatory matters and initiatives
Lead negotiations with Credit Suisse's strategic clients on complex prime brokerage negotiations
Advise of legal risks as they relate to negotiation of Prime Services documentation, including on legal risks pertaining to specialized counterparties
Advise, support and drive key strategic initiatives and transactions, such as legal entity restructurings or migrations
Review and build template agreements and related fallback provisions to address regulatory change and commercial or risk concerns
Obtain and/or review legal opinions from external counsel on netting and collateral enforceability for capital purposes and obtain and manage external legal advice on regulatory issues relating to broker-dealer regulation, securities laws issues and other subjects
Collaborate with colleagues across Credit Suisse in the US, EMEA and APAC
Juris Doctorate and member of the Bar of the State of New York or equivalent educational and legal qualifications
Minimum 2 - 5 years of experience as an attorney; banking / securities / financial services industry a plus!
Knowledge of general contract law and strong drafting skills; additional expertise in secured transactions, securities laws, broker-dealer regulation, and insolvency is a plus!
Ability to analyze, draft and negotiate legal terms related to specific area of expertise and related regulatory and compliance issues
Strong ability to work within a team and coordinate internally with various partners
Takes ownership of work product; displays excellent interpersonal skills and ability to prioritize effectively
Capable of assessing risks and clearly communicating said risks to appropriate decision-makers; demonstrates excellent judgment
