Role & Responsibilities:
The Associate Director, Technology Transactions, at Mount Sinai Innovation Partners (‘MSIP’) plays a pivotal role in crafting, negotiating and executing a broad and complex range of intellectual property-based commercial and academic transactions necessary to help ensure that important discoveries at Mount Sinai result in healthcare products and services that benefit our worldwide patient population. This individual will work closely with the Business Development Team, Faculty, Researchers, Physicians, and Commercial Partners to effectuate intellectual property transactions including, but not limited to Commercial Licenses, Industry Sponsored Research, Equity Partnerships, Material Transfers, Confidential Disclosures, and Clinical Trial Agreements. The Associate Director, Technology Transactions helps to attract, coach, and supervise other lawyers and/or contracts administrators on the Technology Transactions Team. This position reports to the Director, Technology Transactions.
The Associate Director has and maintains an advanced understanding of commercial contract law and intellectual property law, particularly with respect to patent and commercial licensing agreements. He/she is technically proficient, an effective communicator, adept at juggling competing priorities and deadlines. He/she has and maintains an advanced understanding of privacy laws regarding the transfer of human materials and data. Specific responsibilities are outline below.
Drafts, reviews, negotiates and closes: patent licenses in collaboration with business development and the commercialization team; tangible property licenses; data use agreements covering human-derived data; copyright and software licenses; research related agreements including sponsored research, master research, inter-institutional, collaboration, consortium, material transfer, confidentiality, visiting scientist, equipment transfer, service agreements, as well as memoranda of understanding.
Provides input on the internal processes and procedures for the Technology Transactions Team to maximize its efficiency and effectiveness.
Develops standardized contract templates and tools to support MSIP’s commercialization and actively maintains same by keeping up to date with the state-of-the-art commercial contracting and intellectual property transactions.
Supports the Grants and Contracts Office and the Financial Administration of Clinical Trial Services Office by reviewing and negotiating intellectual property, confidentiality, and publication provisions in philanthropic grants and investigator initiated clinical trials, respectively
Reviews and analyzes potential contract dispute/litigation issues and works closely with Office of General Counsel and outside counsel to develop and implement strategies to remedy such issues. Directs, supervises and evaluates the work of outside counsel engaged by MSIP in complex commercial transactions. Works directly with outside risk management counsel with respect to indemnity and insurance issues.
Provides training and education to MSIP staff, MSIP intern/extern programs, ISMMS, and the broader MSHS community regarding contracting in intellectual property transactions
Supports the offices of the President, Conflicts of Interest, and Development as requested, by drafting, reviewing, and negotiating relevant agreements including, but not limited to, service, faculty consulting, funding, and philanthropic programmatic grants/agreements.
Law Degree (J.D.) strongly preferred; With Board admission in good standing in at least one New York jurisdiction or other US state.
Will consider Ph.D. with directly related experience and US Patent Bar Admission
8+ years of commercial transactions and/or intellectual property experience, preferably with a law firm, life science company, or academic institution
Highly organized with demonstrated ability to establish appropriate priorities.
Ability to work independently without supervision in high-pressure environment, negotiating a high volume and variety of agreements.
Flexibility and ability to manage numerous tasks concurrently and ability to act cooperatively with many individuals, with the ability to cultivate and maintain healthy and productive relationships with Faculty, Commercial Sponsors, Outside Counsel and Mount Sinai staff and leadership
Detail oriented and ability to perform with accuracy.
