Position Overview: The University of Southern California seeks an experienced healthcare attorney to support its Keck Medicine of USC health enterprise.Â This is a unique opportunity to develop and foster a broad health care practice with interdisciplinary breadth and depth. The Healthcare Counsel position will advance Keck Medicineâs mission by advising Keck Medicine of USC hospitals and healthcare providers regarding day-to-day operational matters and requires a general health law background.Â Ideal candidates will possess a minimum of five (5+) years of healthcare experience as an attorney in a law firm, company, or governmental agency in one or more legal specialties.Â Candidates should have demonstrated interests and exposure with the application and implementation of one or more of the following healthcare law areas of specialty: health care-related business transactions, physician employment matters, licensing board actions, healthcare fraud and abuse laws (i.e., Stark and federal Anti-Kickback laws), or health-care related litigation.

About Keck School of Medicine of USC
The Keck School of Medicine of the University of Southern California was established in 1885 as the regionâs first medical school and the second professional school founded at USC.
In July 1999, the University of Southern California announced that it had received a gift of $110 million from the W.M. Keck Foundationâthe largest gift ever made to a medical school at the time and the largest single gift ever made by the Keck Foundation. USC, which committed to raising $330 million in matching funds, renamed its medical school the Keck School of Medicine of the University of Southern California to recognize the generosity of the foundation. The gift has enabled the Keck School to pursue strategic initiatives aimed at transforming the Keck School of Medicine to one of the most highly regarded and competitive medical schools in the nation. A large portion of the gift is being invested in the expansion of Keck School research efforts, including the new Zilkha Neurogenetic Institute. The Healthcare Counsel (âCounselâ) will help to advance the university health systemâs mission by advising its hospitals and healthcare providers on daily operational matters. The position requires a general health law background in the application and implementation of operational matters within specialty areas such as health care-related business transactions, physician employment matters, licensing board actions, healthcare regulations including, Stark Law, the Antikickback Statute (and equivalent state law), EMTALA, Medicare, the Medicaid State Operations Manual, and HIPAA/HiTech. The Counsel will provide legal counsel, conduct investigations, and manage regulatory compliance projects, disputes and risks. The
Counselâs responsibilities will include representing health care professionals, hospitals, medical institutions, and advising on staff/faculty labor law and medical staff processes and procedures.
Scope of Potential Responsibilities
Provide legal and strategic counsel, training and support on healthcare-related regulatory matters relevant to Keck Medicine of USC enterprise operations. Guide hospitals and healthcare providers on compliance standards relative to applicable regulations and best practices. Review and advise on physician-related employment arrangements and healthcare operational legal matters.
Ensure smooth and efficient application of the medical enterprise compliance plan and code of conduct. Manage regulatory compliance projects, disputes and risks through knowledge and application of healthcare laws and regulations (e.g., Stark Law, Antikickback Statute, Medicare).
Represent healthcare professionals, hospitals, medical institutions, and skilled nursing/assisted living facilities, advising on staff/faculty labor law and medical staff processes and procedures. Examine legal data to determine advisability of defending or prosecuting lawsuits and assist with internal grievances and hearings involving administrative agencies. Select, recommend and help to supervise outside counsel providing legal opinions or handling claims and litigation.
Advise on complex organizational matters requiring interaction between multiple legal entities. Counsel hospitals and other providers regarding Medicare and Medicaid fee-for-service billing and regulatory requirements. Prepare or review contracts, leases and affiliation agreements.
Provide legal assistance and guidance on the negotiation and drafting of contracts (e.g., vendor agreements, managed care plans). Serve as the health systemâs Freedom of Information Act (FOIA) officer and liaise with regulatory and legislative bodies, perform legal research, and conduct investigations.

The successful candidate must have the following minimum credentials:
J.D. degree from an accredited law school;
Valid license to practice law in California and good standing with the California State Bar Association;
Minimum five yearsâ experience practicing law in healthcare, at a law firm or in a governmental agency in one or more legal specialties;
Demonstrated experience with healthcare-related business transactions or litigation (e.g., licensing board actions, healthcare fraud and abuse laws);
Experience in healthcare law, mergers and acquisitions, academic research, compliance, medical malpractice, healthcare regulatory affairs, and/or governmental relation;
Proven ability to render timely and sound legal advice within applicable legal principles;
Preferred qualifications include experience with the following:
Seven yearsâ experience with legal affairs in an academic health care organization;
Experience providing counsel regarding Medicare and Medicaid fee-for-service billing and regulatory requirements;
Experience representing healthcare professionals, hospitals, medical institutions, and/or skilled nursing/assisted living facilities;
Experience with legal matters relevant to nonprofit higher education organizations (e.g., Clery Act, privacy and data protection, real estate law);
Experience with staff/faculty labor law problems, medical staff processes and procedures, and assisting with internal grievances and hearings involving administrative agencies;
Experience selecting and recommending outside counsel to obtain legal opinions or handle claims and litigation and supervision of outside counsel;
Advising complex organizations with interaction between multiple legal entities;
Liaising with regulatory and legislative bodies;
Preparing or reviewing contracts, leases, and affiliation agreements;
