The person in this position provides professional legal support by assisting senior legal specialist and other supervising attorneys with a wide range of tasks including maintaining all international corporate legal entities in good standing, assisting with winding down or creating new international legal entities as necessary, and by working with international service providers and international corporate teams. The person will be expected to draft legal memoranda and corporate resolutions, and also review, edit and finalize documentation prepared by international service providers and international corporate team members and business partners for board and shareholder approval. More generally, the person will draft legal and business communication, participate in the administration and negotiation of various contracts, perform general file and database management, gather documents and respond to various legal requests, assist with regulatory filings, and respond to customer legal inquiries by involving the proper legal department personnel.
Major Tasks, Responsibilities and Key Accountabilities
Under supervision, support the maintenance of the international corporate legal entities by managing corporate records, minute book records, org charts and by working with international service providers and international corporate teams
Conduct legal research/research business problems and provide recommendations as to course of action; respond to clients legal inquiry under the supervision of counsel; review legal documents (e.g., corporate resolutions) to identify key issues
General file/database management - maintain complete and accurate electronic and paper files for all assigned matters
Gather relevant documents for corporate maintenance and other matters
Negotiate settlement of smaller matters or negotiate smaller contracts/ amendments/statements of work
Other tasks as assigned by supervisor
Nature and Scope
Position reports to Attorney, Sr. Attorney, Counsel or Sr. Counsel
No direct reports
Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
Typically requires overnight travel less than 10% of the time.
Must be eighteen years of age or older.
Must be legally permitted to work in the United States.
The knowledge, skills and abilities typically acquired through the completion of an associate's degree program or equivalent degree in a field of study related to the job.
Years of Relevant Work Experience: 2 years Physical Requirements:
Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.
3-5 yrs experience as a paralegal in a law firm or corporate legal department
