As Senior Commercial Counsel, you will be responsible for providing well-informed, timely, effective, hands-on and practical legal guidance and support to internal departments of Brooks Sports, Inc. You will be an integral part of the business providing counsel and guidance on varied legal and business issues, act to protect the company’s interests in all aspects of its business and manage day-to-day legal functions. You will interact directly with teams to provide thoughtful and strategic advice on handling a wide variety of legal issues. This person will be familiar with business operations and objectives, and identify, analyze and develop strategies to resolve complex legal issues. You will be a leader on the Brooks Legal team, working alongside the General Counsel to run all legal functions for the business. You will manage a team consisting of a Compliance Program Manager and Contracts Paralegal to ensure seamless execution of department programs and initiatives.
Own the contract program at Brooks, including the negotiation, drafting and review of all contracts at Brooks, including commercial contracts, international distribution agreements, technology and security related contracts, athlete contracts, supply agreements and procurement agreements.
Implement and manage the company’s commercial compliance program and advise on a range of commercial governance issues including antitrust, employment, and pricing. Follow industry trends and notify stakeholders of relevant changes in the law. Recommend, implement and monitor related policy and procedural changes as appropriate.
Own Brooks’ privacy compliance, including data security, e-commerce, the Internet of Things, and online advertising. Advise teams on compliance with privacy laws, manage legal response to data breaches, draft privacy-related agreements and track updates in international privacy law.
Assist General Counsel in the management of trademarks, copyrights, patents, and domain names for Brooks and its subsidiaries. Partner with product and design teams to file or research relevant patents. Identify opportunities to streamline processes for supporting clients to ensure we deliver a great customer experience.
Provide legal counsel to e-commerce, sales and marketing teams regarding advertising, promotions, including sweepstakes and contests, domain name and social media issues. Periodically review marketing materials for legal compliance.
Provide counsel to product teams regarding potential new business models and business opportunities.
Provide legal guidance for subsidiaries as needed. Manage corporate governance recordkeeping.
Provide strategic support to General Counsel and other senior leaders on emerging legal issues and trends.
Manage a team including the Compliance Program Manager and Contracts Paralegal. Lead, coach and work to develop your team.
Juris Doctorate (J.D.) degree from an accredited law school required.
Admitted to practice in the State of Washington or have the ability to be admitted to the state bar within a reasonable period of time.
10+ years of experience as a practicing business attorney. Prior in-house and contract drafting experience a plus.
5+ years of experience managing a direct report; experience managing and leading a team
Ability to evaluate and weigh legal and business issues effectively and realistically.
Excellent verbal and written communication skills, demonstrating effective listening through concise, clear verbal and written communication.
Ability to clearly and concisely explain legal situations to business persons and other non-lawyers and motivate them to take appropriate actions.
Ability to present, and communicate with confidence to key stakeholders and executives
Excellent interpersonal skills that inspire and build trust resulting in effective working relationships across the company and with our external partners
Ability to achieve optimum legal and business outcomes in a timely manner by focusing on key objectives, seeking efficient legal solutions, prioritizing multiple matters and issues, and avoiding unnecessary disputes.
