Required Qualifications (as evidenced by an attached resume): J.D. (or foreign equivalent) from an accredited law school. Experience with large, complex transactions/contracts. Five (5) years of experience at a law firm doing transactional work. Admitted to New York State Bar in good standing or eligibility for admission within one year.
Preferred Qualifications: Seven or more (7+) years of experience at a law firm doing transactional work. Legal experience working in higher education, government, healthcare or public company setting.
Brief Description of Duties: The Experienced Transactional Attorney will report to the campus Senior Managing Counsel and be responsible for providing advice and counsel with regard to complex transactions involving the Stony Brook University campus, for working with outside counsel as necessary, and state regulators whose approval is required for most transactions. This position will provide service to all campus locations from Manhattan to Southampton including our academic medical center and hospital.
Serving as key lawyer/legal advisor on all major transactions involving Stony Brook University and providing leadership and guidance with an emphasis on identifying creative solutions for a diverse range of complex legal issues.
Analyzing and providing advice and counsel on all legal matters affecting health care transactions in academic medical centers including mergers and acquisitions, joint ventures, services agreements and other corporate transactions, corporate governance matters, and procurement agreements, as well as general hospital and physician transactions.
Leading and managing the drafting of complex commercial contracts.
Leading and managing P3 arrangements for campus projects.
Advising and counseling on issues affecting corporate formation and dissolution, purchasing, software contracts, discounts/rebates and general health care law, as well as state and federal regulatory matters.
Interacting with key administration, faculty and other University counsel, as well as government agencies.
Collaborating with the Senior Managing Counsel and the Office of General Counsel to ensure the excellent provision of legal services to clients as it relates to an array of transactions.
Developing a thorough understanding of and familiarity with the operation of SUNY, Stony Brook University, its affiliates, facilities and clients.
Other duties or projects as assigned as appropriate to rank and departmental mission.
Special Notes: This is a Management Confidential position. This is a full time appointment. FLSA Exempt position, not eligible for the overtime provisions of the FLSA. Minimum salary threshold must be met to maintain FLSA exemption.
