Who We’re Looking For
The TFS Legal Department is looking for a passionate and highly motivated Managing Counsel, Dealer Lending.
Reporting to the Assistant General Counsel, this role will provide advice to our wholesale lending, sales, risk, and operations groups in managing a high volume of financing transactions and related operational and policy matters. Expertise in structuring, documenting, and negotiating lending arrangements is essential, and knowledge of loan restructuring and workouts, litigation management, and lender liability is key. Experience with banking regulatory matters and captive finance is preferred.
What You’ll Be Doing
• Negotiate, document, and close commercial lending transactions with auto dealers, including real estate transactions, working capital, floorplan financing arrangements, revolving lines of credit, syndicated and participated credit lines, and other dealer financing products. Provide ongoing advice on the servicing of these transactions, including amendments, modifications, and inter-creditor agreements. Advise management regarding strategic and structural issues impacting the dealer lending program. Communicate with headquarters and field personnel regarding transactions. Advise credit analysts on appropriate structure and security position. • Negotiate, structure, and document dealer workouts, forbearance agreements, and other restructuring arrangements. Work with the dealer lending and special assets departments on workouts, collections, action plans, and recovery strategies. Manage litigation and supervise outside counsel relating to the same. • Assist as needed with general corporate responsibilities, including contract review, policy and procedure review and implementation, field training, and other transactional matters.
What You Bring
• J.D. from an accredited law school in the United States. • Active membership in good standing in the bar of at least one U.S. state/jurisdiction and able to obtain a license to practice law in Texas. • Extensive experience as an attorney handling structuring, documenting, and negotiating lending arrangements. • Knowledge of loan restructuring and workouts, litigation management, and lender liability. • Ability to prioritize among competing and multiple projects and priorities with minimal direction • Demonstrated ability to work in a fast-paced environment on diverse matters requiring complex legal analysis. • Commitment and ability to act with discretion, strict confidentiality, and sensitivity towards issues and individuals. • Ability to interface effectively and build and maintain strong relationships with the legal function and across multiple business units. • Capable of working independently and as part of a team. • Excellent written and verbal communication skills. • Exceptional detail and organizational skills. • Proficiency with Microsoft Office (Excel, PowerPoint, Word). • Ability and willingness to travel 5% of the time.

• Experience with banking regulatory matters. • Captive finance experience. • NetDocuments and/or ChangePro experience. • In-house legal department experience.
