Location: The preferred location for this role is New York, NY, but would consider Charlotte, NC.
Mid to senior level attorney responsible for legal advice relating to general account investments, with an emphasis on structured investments, private credit transactions, private equity and derivatives. Candidate must be willing to take on new challenges and looking to build a career within one of the leading U.S. financial services companies.
Responsibilities: * Counseling with respect to the company's investments in private placements, private credit, private equity, hedge funds and structured investments; * Reviewing and negotiating all investment-related documentation, including credit and security agreements, confidentiality agreements, private placement memoranda, subscription agreements, indicative term sheets, investment management agreements and commitment letters; * Providing legal interpretations of insurance regulations and guidance on their applicability to insurance company investments; * Advising on troubled credit situations; waivers, amendments and forbearance agreements; * Preparing and negotiating ISDA Master Agreements - Schedules and Credit Support Annexes; * Preparing and negotiating Futures Agreements and relevant give up agreements, and negotiating other trading documentation; * Complete KYC and other required forms in relation to derivatives and other trading (for example, KYC documents, QIB forms, etc.).
* Juris Doctorate degree required; * Bar admission in New York or North Carolina required depending on location * 5 - 8 years of experience in derivatives and other investment matters required; * Experience in major law firm or large in-house department highly desired; * Excellent drafting and negotiating skills required; * Strong, analysis and communication skills required; * Must be able to build relationships and effectively counsel across all levels of the organization.
