The Corporate Counsel, Legal Advisory and Transactions will be a member of the Legal Advisory and Transactions Team within the Legal Department. This individual will assist with the general contract and legal counseling needs of the Company and will also be responsible for assisting with the development and implementation of contract management policies and procedures, ongoing training and education, and monitoring legal trends that impact the business. The Corporate Counsel will develop a strong understanding of the Company’s businesses and risks and develop productive, collaborative working relationships with the business teams.
KEY RESPONSIBILITIES
Act as the primary attorney supporting certain designated functions and strategic business areas
Prepare, review, negotiate, and interpret contracts for supported areas, such as sales and supply agreements, distribution agreements, software licenses, and professional services agreements
Provide legal guidance and negotiation support to resolve issues for supported areas (e.g., claims and pre-litigation situations)
Supervise, manage, and evaluate outside counsel on matters related to supported areas
Support for the implementation of effective contract management policies and procedures, including creating/updating contract templates and developing training materials
Ongoing training and education for supported areas
Monitoring of relevant legal trends and developments in legislation and regulations
Provide supplemental support for special projects, including acquisitions, divestitures, and finance/tax projects
Education
Juris Doctor degree from an accredited law school with strong academic credentials and licensed to practice law in at least one state.
Experience
Minimum of 3 years of progressively responsible experience as a lawyer at a law firm or in-house setting, with a concentration in complex contract review and negotiation, dispute resolution, and supply chain and operations matters.
Prior in-house experience in a similar or substantially similar role at a company with a national presence preferred but not required.
