We are looking for a passionate and highly motivated Corporate Securities Attorney. This attorney will be part of the Corporate Practice Group within the Legal Department and will primarily advise on matters relating to securities and capital markets transactions, public company reporting, and corporate governance. The primary client business groups will include Accounting, SEC Reporting, Investor Relations, Treasury and Corporate Communications. * Assist in the preparation of '34 Act filings, including Forms 10-K, 10-Q, 8-K, proxy statements, beneficial ownership and Section 16 filings; * Assist in the preparation of '33 Act filings in connection with both equity and debt offerings; * Ensure the company's compliance with the Sarbanes-Oxley Act of 2002 and NYSE listing rules and requirements; * Ensure insider securities transaction compliance with applicable law and company policies and draft 10b5-1 plans as needed; * Support the Investor Relations and Corporate Communications functions by drafting and reviewing press releases, earnings releases, investor presentations and other materials, advising on Regulation FD, Regulation G and counseling on other analyst, media and communication matters; * Support the company's treasury function, with a focus on capital markets financing transactions; * Support other corporate transactions, including M&A and strategic transactions, and other corporate matters as needed; * Collaborate with Law Department colleagues on assigned cross-functional initiatives and projects as required.
This position can be located in either New York, NY or Charlotte, NC locations, position may be considered for 100% remote.
Qualifications

Decision Making and Critical Thinking: Knowledge of the decision-making process and associated tools and techniques; ability to accurately analyze situations and reach productive decisions based on informed judgment.
Legal Analysis: Knowledge of methods and tools used in legal analysis; ability to read, interpret and draw accurate conclusions from both legal and factual information.
Project Management: Knowledge of effective project management strategies and tactics; ability to plan, organize, monitor, and control projects, ensuring efficient utilization of technical and administrative resources to achieve project objectives.
Strategic Thinking: Knowledge of the importance of "big picture" thinking and planning; ability to apply organizational acumen and competitiveness to identify and maintain focus on key success factors for the organization.

Other Qualifications:
* J.D. degree required; * Member in good standing of a State Bar Association required; * 4+ years of corporate securities experience at a top firm or in-house (a combination is a plus); * Sound judgment that balances legal requirements with practical business needs; * Proven interpersonal skills and work ethic; * Desire to learn new areas of practice, develop skills and expand responsibilities
