The Assistant General Counsel will be an important member of the Legal and Compliance Department, providing direct support to one of our Associate General Counsels and to the Company’s Biologics business unit, including both Biotherapeutics and Cell and Gene therapy, as well as providing support as needed to other department personnel on a wide variety of matters. This attorney will also provide advice on, and assistance in negotiating and documenting, many types of commercial and other relationships in the business unit, as well as mergers and acquisition matters and all other matters relating to the success of the business unit. From time to time, this may include legal advice and support on business disputes, personnel matters, and real estate issues, as well as legal training for the business development team. The attorney will liaise as needed with other support and business functions to resolve issues.
The Role:
· Draft, review, analyze, structure and negotiate various commercial agreements, including pharmaceutical development, manufacturing, packaging, supply, license and master service agreements
· Advise business team with respect to general contract matters, compliance policies, customer and vendor relations, and related regulatory issues
· Assist in merger and acquisition activity
· Provide general advice to senior management and other managers on a day-to-day basis
· Special assignments and projects
· Provide advice and guidance for the accomplishment of the overall business objectives of business unit in compliance with applicable laws and regulations and avoidance of unacceptable risks
· Provide informed cost-benefit analysis when identifying risks
· Develop a thorough understanding of and familiarity with the business and its people, products, technology, markets, facilities, customers, and competitors in order to identify trends and formulate business and legal structures and strategies accordingly
· Ensure that all activities are conducted in compliance with all applicable legal requirements worldwide and internal policies and procedures
· Make presentations to Company personnel on legal issues as needed
· Collaborate with paralegals and junior attorneys, including training and mentoring as appropriate
The Candidate:
A record of outstanding academic achievement at the university and professional training levels
Able to practice (to the extent required) as an in-house lawyer in NJ
Minimum of 5-8 years of transactional/commercial law experience with a combination of large law firms and/or in-house pharmaceutical or pharmaceutical CDMO experience
A business person’s lawyer with solid judgment, particularly in determining the significance of legal matters and when to elevate them to more senior Department personnel and in effectively measuring and minimizing risks
Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously; willingness to assume heavy workload to meet timing and project needs
Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities
Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company and with our customers and other business partners
Ability to take on large projects, create and present a plan of action, and independently manage projects to favorable resolution or conclusion
Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization
