A highly qualified attorney handling functions of Exelon’s Office of Corporate Governance, including corporate governance and securities law, corporate law, support for corporate secretary, shareholder services, corporate finance and treasury functions.
PRIMARY DUTIES AND ACCOUNTABILITIES
With minimal supervision, provide advice on federal securities laws compliance and public company governance issues. Expertise in executive compensation counseling, insider trading compliance, and capital and financing matters desired.
Draft corporate governance documents, policies, board and committee materials.
Experience with ’33 and ‘34 Act laws and rules including annual proxy statement drafting and company filings on Forms 8-K, 10-Q, 10-Ks and Section 16 reports.
Provide corporate secretarial support for public company board and committees as well as controlled company utility board meetings.
Assist with annual meeting of shareholders planning.
Organize and manage corporate governance outreach to investors.
Advise on shareholder services management function.
Provide support to finance and treasury clients on financing transactions and related matters.
Projects / duties as assigned.
JOB SCOPE
Supports Senior Vice President, Deputy General Counsel & Assistant Corporate Secretary and Associate General Counsel & Assistant Secretary in ongoing operations of the Exelon Office of Corporate Governance, providing legal services to Exelon Board and subsidiary boards and to executive officers of the Company.
Demonstrates superior judgment and ability to think strategically and innovatively in the legal and business context.
Demonstrates ability and willingness to solve complex, difficult problems and be very pro-active in doing so.
MINIMUM QUALIFICATIONS
An LLB or JD from an accredited law school and be licensed to practice law in Illinois (or if licensed in another jurisdiction, eligible for limited admission to the Illinois bar as in-house counsel).
At least 2-5 years of professional experience in corporate governance or securities laws.
Must have the ability to communicate clearly and concisely both orally and in writing; read and analyze legal materials and other data; work collegially with team members to meet deadlines and priorities; and provide realistic risk assessments to clients.
PREFERRED QUALIFICATIONS
Substantial experience with executive compensation, securities laws compliance.
