The Attorney Corporate Governance manages the corporate governance activity for BAE Systems, Inc. and supports the BAE Systems, Inc. independent board of directors. This position will report to the Vice President & Assistant General Counsel for M&A and Corporate Governance.

Key responsibilities include:
Drafting corporate resolutions for all types of activities for BAE Systems, Inc. and its subsidiaries, including routine corporate actions, internal restructurings, and mergers and acquisitions (including formation, dissolution, merger, name change, etc.).
Ensuring that all entities are properly qualified in all applicable jurisdictions, and managing our registered agents to complete all required filings.
Maintaining a legal entity database (Diligent/GEMS), as well as corporate minute books in paper and electronic form.
Serving as the subject matter expert on corporate history.
Managing the execution of corporate restructuring efforts, including preparing restructuring documents, working with local counsel as necessary.
Preparing for all board meetings, including the initial draft agenda and related resolutions.
Collating and distributing of meeting materials through the board portal and in hard copy.
Staying current on corporate governance best practices.
Preparing Board and Committee self-assessment surveys.
Drafting amendments to board member agreements
Juris Doctor and a minimum of four (4) years of relevant professional experience in corporate governance, corporate counsel, senior paralegal and/or board liaison, with a strong preference for prior experience in a corporate legal department
Strong client services skills

Ability to perform legal research and work with governmental authorities to satisfy corporate requirements.
