The team: This position reports directly to the Chief Corporate Counsel & Corporate Secretary who is based in New York, USA.
The Impact: The Associate General Counsel - Mergers & Acquisitions is responsible for supporting a business of approximate $12 billion in revenue and over 35,000 employees world-wide, serving as a critical business partner and trusted advisor to our corporate and divisional Strategy, M&A, and Partnerships business teams.
The ideal candidate will be energetic, business-minded, and a self-motivated attorney with at least 7 years of a broad range of cross-border and domestic M&A experience, and preferably prior in-house experience. The successful candidate will have excellent communication and interpersonal skills, strong judgment, a broad range of corporate experience, an eagerness to learn about our evolving company and a passion for the financial and commodities markets and the data that powers those markets.

Responsibilities: - Partner and coordinate with the corporate and divisional Strategy, M&A, and Partnerships business teams regarding acquisitions, divestitures, equity investments and joint venture transactions.
- Take initiative to identify and analyze problems, generate alternative solutions and make decisions with little or no direction/supervision.
- Develop strong relationships with internal constituents including (i) Global Head of Strategy, M&A, and Partnerships, (ii) Chief Financial Officer, (iii) Chief Purpose Officer, and their respective teams, among others.
- Review, draft, negotiate and/or manage outside counsel review of investment documentation including NDAs, letters of intent, purchase agreements, shareholders agreements, confidentiality agreements and other similar transactional documentation.
- Manage due diligence and coordinate requests and input from key internal stakeholders.
- Assist with deal-related regulatory and compliance requirements; coordinate related corporate filings with corporate secretarial function.
- Monitor and assess the impact of legal and regulatory developments and enforcement trends at a state and federal level.
- Assist with other corporate legal matters and provide substantive support for the rest of the Legal team, as needed, including vendor/procurement agreements and licensing agreements.
- Efficiently manage outside counsel with an eye toward minimizing outside counsel expense and meeting budget.
S&P Global states that the anticipated base salary range for this position is $173,700 to $360,700. Base salary ranges may vary by geographic location. In addition to base compensation, this role is eligible for an annual incentive plan. This role is eligible to receive additional S&P Global benefits. Basic Qualifications: - J.D. from a top law school with exceptional academic credentials and at least 7 years of relevant experience gained at a leading law firm and/or in-house at a public company.
- Must be admitted, active and in good standing in at least one US state.
- Candidate must be highly analytical and have exceptional business and legal issue identification and problem-solving skills.
- Requires a practical, business-oriented approach to problem-solving?? candidate must be able to effectively counsel internal clients by providing them with clear, concise and pragmatic advice, and creative solutions where necessary, on established timelines to meet their business needs.
- Candidate must be able to operate autonomously while being a team player who brings a positive attitude to the workplace and works collaboratively with other members of the Legal team and with internal clients.
