The SP+ Legal Department handles day-to-day legal matters for the Company, including contract drafting/review/negotiations, corporate controls & procedures, corporate governance and compliance, mergers & acquisition, and dispute resolution and litigation. The department is closely integrated with the executive management team and supports all aspects of business operations. We are seeking an experienced corporate paralegal. The successful candidate will take the lead in drafting, reviewing, and negotiating various contracts, including vendor and procurement agreements, license agreements, confidentiality agreements, office leases, purchase orders, and amendments. The successful candidate will also be responsible for contract administration, working with legal and operations to maintain, organize, and update our contracts portfolio, and developing templates and playbooks. There will be opportunities to support our attorneys on complex transactions and projects.
You will report to Vice President, Deputy General Counsel.

Lead and develop a process to support the corporate secretarial process, including subsidiary maintenance
Maintain corporate books and records and assist with the preparation of board and committee materials, including corporate resolutions, meeting minutes, written consents, and other materials
Act as an administrator and regularly update the online corporate database, organizational charts, and officer lists shared by legal, tax, and treasury functions and ensure that information is timely, complete, and accurate.
Manage subsidiary entities, including annual reports/filings, and collaborate with accounting, finance, and tax on related matters
Prepare and file forms 3, 4, and 5, Form IDs, and track holdings of insiders.
Document intercompany transactions, such as capital contributions, distributions, liquidations, reorganizations, and dividends
Manage litigation/records holds with the IT Department. Responsible for support related to disputes, litigation, and subpoenas
Manage and coordinate service of process with SOP vendor and internal stakeholders
Research legal issues and developments, including real estate, corporate governance, data privacy, and cybersecurity
Perform other miscellaneous assignments or duties as needed, such as assisting with administrative tasks, special projects, and general corporate recordkeeping

5+ years of corporate paralegal experience in a law department or law firm.
