The Chief Counsel position is in the Division of Examinations located in Washington, DC. This job announcement is open to US citizens.
The Chief Counsel for the Division of Examinations is responsible for managing a program that renders legal, technical, and policy matter advice or interpretation related to the statutes, rules and regulations administered by the Commission. More specifically, the Office of Chief Counsel (1) provides legal and policy advice to the Director, other senior officials, and Division staff; (2) drafts, reviews, and comments on proposals for legislative changes and/or new legislation pertaining to the work of the Division; (3) reviews drafts of proposed Commission rules, rule changes and regulations relating to the work of the Division; and (4) serves as an advocate for the Division with the policy divisions of the Commission and maintains liaison with other offices and divisions of the Commission, as well as other government agencies.
Typical duties include:
Serving as principal advisor and consultant to the Director and other senior officials of the Division on a wide range of matters including technical and/or precedent-setting aspects of the federal securities laws.
Assessing the economic impact, feasibility, practicality, and effectiveness of existing and/or proposed legislation, standards, regulations, and/or policies in order to develop, review, and/or approve high-level policies that have a broad impact on significant agency programs and/or mission areas.
Performing the full range of supervisory duties, including evaluating employee performance; making recommendations for appointment and promotion; hearing and resolving complaints; identifying development and training needs of employees; and other related supervisory tasks.
Contacting, advising and collaborating with high-ranking officials from other federal agencies and departments of government, congressional staff officials, state officials, and/or executives of comparable private sector organizations.
Planning and participating in industry or regulatory conferences or similar events, speaking about various compliance or examination matters.

BASIC REQUIREMENT: All applicants must possess the following
J.D. or LL.B. degree --AND--
Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty.
MINIMUM QUALIFICATION REQUIREMENT: In addition to meeting the basic requirement, applicants must also meet the minimum qualification requirement. SO-01: Applicant must have at least four years post-J.D experience identifying legal issues, providing legal analyses, providing legal solutions/recommendations, and preparing legal documents, which also includes at least three years of specialized experience: 1. Interpreting and applying the provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934, the Investment Company Act of 1940 and the Investment Advisers Act of 1940; 2. Providing legal advice to senior management including researching and providing legal interpretation of statutes and implementing regulations; AND 3. Developing and preparing written guidance on a variety of novel or complex legal issues arising from interpretation and application of statutes.

Knowledge of and exposure to the operations and/or the examination of clearing agencies, broker-dealers, transfer agents, investment advisers and investment companies.
Ability to analyze complex problems and devise innovative solutions.
