As Senior Legal Counsel in Fidelity’s Asset Management Legal Group, you will be responsible for supporting Fidelity’s Fund and Investment Operations business unit, which provides operational processing for Fidelity’s full line of mutual funds and institutional products, including trade processing, fund accounting and valuation, custodian bank reporting and oversight and fund reporting. From time to time, the Senior Legal Counsel will also support Fidelity’s Treasurer’s Office, which provides oversight of the funds’ operations and services providers, and manages the Sarbanes-Oxley program for Fidelity’s mutual funds, including the certification of the funds’ financial statements. Areas of support will primarily include custodian bank relationships, foreign custody support, transfer agent processing, strategic business initiatives, a variety of contract negotiations, and related compliance/risk management for all of these areas.

The Value You Will Deliver
You will be a key member of the legal team of investment management attorneys, working closely with other members of Fidelity’s Asset Management Legal group.
You will review, negotiate and interpret contracts with unaffiliated fund service providers, including administrators, transfer agents, fund accounting agents, banks and fund custodians, and advise on issues concerning service provider performance.
You will provide legal support on strategic business initiatives involving Fidelity Fund and Investment Operations, such as new operational processes, the launching of new products, adopting new technology platforms, etc.
You will handle legal issues relating to the custody of the Fidelity funds' and investment products’ assets with third-party custodian banks, including market-specific arrangements for holding non-US assets.
You will assist with transfer agent and custodial bank accounts for the Fidelity funds and other investment products.
You will prepare and review materials presented to the Boards of Trustees of the Fidelity mutual funds.
The Expertise You Have
Minimum 6-10 years as a practicing attorney
Law firm and/or in-house experience at a financial services company preferably with experience in legal matters involving fund operations
Significant experience with the Investment Company Act of 1940. Working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934 and the Investment Advisers Act of 1940 preferred
