Overview:
Providence College is seeking applications for an experienced attorney to join the Office of the General Counsel and provide legal support on a wide range of legal issues facing a private institution of higher education. The position will be classified as an Assistant Vice President / Assistant General Counsel or Associate Vice President / Associate General Counsel (“AGC”), commensurate with years of experience. The successful candidate will have demonstrated experience handling multiple matters while working independently, analyzing complex legal issues, and offering appropriate guidance using exceptional judgment and communication skills.
As a member of a small legal team, the AGC will be called upon to provide legal support in the full array of areas handled by the Office of General Counsel, such as academic, athletics, student affairs, sponsored research, governance, policies, human resources and labor, purchasing and contracting, real estate and construction, intellectual property, and insurance and litigation matters.
Essential Duties:
Reporting to the General Counsel, key responsibilities of the AGC include, but are not limited to, the following:
Draft, review, and negotiate an array of commercial and academic contracts; provide commercial transaction support across the institution;
Maintain a current understanding of the local, state, and federal laws and regulations that apply to the College, interpret the application of such laws and regulations, and educate other members of the College community about them;
Field a wide range of legal inquiries from departments college-wide; advise senior leaders on areas of legal risk and exposure, and how to best manage that risk while still achieving the strategic priorities of the College;
Conduct legal research and analysis and draft legal memoranda;
Directly handle or assist outside counsel in litigation activities including document production, as well as reviewing and monitoring pleadings, motions, discovery, depositions, trials, mediations, arbitrations, appeals, etc.;
Assist in matters relating to the College’s insurance portfolio and risk management functions;
Develop and provide training on legal and compliance issues that impact the College;
Support and contribute to the College’s mission as a Catholic and Dominican institution; and
Address other legal matters and perform other duties as assigned by the General Counsel.
The successful candidate must possess:
Demonstrated knowledge of the legal issues and laws and regulations affecting institutions of higher education;
The ability to address complex legal issues with sound judgment and strong analytical skills, while keeping the College’s strategic priorities in mind;
The aptitude to be a true generalist; the ability to manage under pressure a high volume and array of legal matters from routine to complex, and to adapt quickly to changing priorities in a dynamic environment;
A demonstrated ability to build trust and credibility with the College’s leaders, to operate in a highly professional and collegial manner, and to work constructively as a valued business partner;
Exceptional judgment, which includes exercising confidentiality and discretion and practicing law in a manner that reflects honesty, integrity, and reliability;
Excellent written and oral communication skills; ability to communicate complex legal concepts in a non-legal way; ability to communicate, work cooperatively, and interact comfortably with a diverse community and multiple constituencies;
Demonstrated ability to conduct thorough and detailed legal research; and
Thorough understanding of and commitment to the mission of the College.
Marginal Duties:
Perform all other duties as assigned.
Education and Experience Required:
Juris Doctor from an accredited institution;
Admission to practice law in the federal and state courts of Rhode Island (or gaining admission within one (1) year of employment);
Hands-on practice in the general field of law and at least four (4) years practice in education law, with a strong preference for higher education experience;
Comprehensive knowledge of education law and general knowledge of civil law.
