Position Scope and Key Responsibilities:
Genentech, Inc. is recruiting for a Senior Counsel Specialist, Assistant General Counsel, Competition Law, to be located in South San Francisco.
The Senior Counsel Specialist, Assistant General Counsel position is for an attorney to join the Litigation Practice Group within the Legal Department of Genentech, Inc., a member of the Roche Group. We are seeking a well-rounded life sciences competition/antitrust practitioner who can advise and represent the company regarding competition matters in the United States. Experience with ex-US competition issues is helpful but not necessary for the role. We are seeking a person with experience working with complex and global organizations and who is comfortable advising senior business and legal leaders.
As Senior Counsel Specialist, Assistant General Counsel, you will:
Provide day-to day counseling to legal and non-legal colleagues, including business leaders, on competition law issues.
Advise on the competition aspects of pricing agreements and patent settlement agreements.
Advise transactional colleagues regarding competition issues raised by the company’s mergers, acquisitions, partnering and other strategic transactions.
Lead responses to requests and investigations from the FTC and DOJ regarding competition issues.
Assist colleagues in assessing competition risk in various aspects of the company’s businesses.
Assist with HSR filings.
Engage in competition policy advocacy and industry thought leadership.
Update, develop and deliver competition training for legal and non-legal colleagues.
Advise on competition compliance matters and the overall competition compliance program within the organization.
Coordinate with global colleagues on international competition issues.
For this position, we are seeking an attorney with the following qualifications:
JD with an appropriate California state license OR ability to register as California in-house counsel based on admission in another state.
At least 10 years of competition/antitrust practice experience in the life sciences, with at least 4 years at a large law firm.
Thorough familiarity with the structure and operation of the FTC and state AGs. Prior experience working within an agency is preferred.
Prior experience working within a life sciences company is preferred.
Knowledge of competition issues in the pharmaceutical industry, including with respect to pricing agreements, patent settlement agreements, and biosimilars.
Experience advising on merger control issues and in drafting and submitting HSR notification forms is a plus.
Ability to deliver clear and practical advice regarding challenging legal issues to legal and non-legal colleagues, including senior management, clearly and concisely.
Strategic and creative thinker who would be able to identify needs and opportunities in a large, complex and global organization.
Excellent verbal and written communication skills.
Confidence in delivering training to legal and non-legal colleagues.
Willingness to participate in internal and external advocacy efforts, industry panels and thought leadership.
Good judgment and interpersonal skills, and the organizational savvy and diplomatic sensitivities to effectively collaborate with multidisciplinary, diverse and global colleagues.
Extensive network with other competition/antitrust professionals.
Understanding of merger review regulations outside the U.S. is preferred.
