Assists in managing the legal and compliance aspects of due diligence for M&A, finance, and investment transactions
Assists in managing the process of making securities law filings related to finance transactions
Manages outside legal counsel and internal legal specialists and paralegals on work related to M&A, finance, and investment transactions
Prepares and reviews various agreements relating to M&A, finance and investment transactions, including NDAs, term sheets, acquisition/divestiture agreements, consulting agreements, vendor agreements, transaction checklists, loan agreements, receivable financing agreements, prospectuses, and investment documents typically based on NVCA model forms.
Stays abreast of new laws and regulations relating to M&A, finance and investments and makes recommendations regarding compliance with such laws
Assists in managing the legal and compliance aspects of due diligence for M&A, finance, and investment transactions
Assists in managing the process of making securities law filings related to finance transactions
Manages outside legal counsel and internal legal specialists and paralegals on work related to M&A, finance, and investment transactions
Three to five years of M&A, finance, and investment transaction experience obtained in a law firm or through a combination of law-firm and in-house settings, with substantial experience drafting and negotiating complex transaction agreements
Experience with securities laws and regulations, and corporate governance, strongly preferred
Excellent writing and communication skills, particularly to assist a non-legal audience in understanding complex legal and regulatory concepts and requirements
Solid judgment, business acumen, and analytical skills
