Rutgers, The State University of New Jersey is seeking an Associate General Counsel for the Office of Senior Vice President and General Counsel. We are looking for a candidate with strong general transactional experience particularly in the areas of real estate, procurement, commercial transactions, organizing and operating related corporate entities, corporate governance, and transactional and general legal counseling for foundations or other tax-exempt, nonprofit organizations including charitable donations (gift agreements, endowments, bequests). The position will handle matters that in-house legal offices at a large public university face in the areas of interest noted, including contract negotiation and drafting, advice and counsel to internal clients, and participation in strategy development with other Office of General Counsel colleagues and internal clients. The position could also handle some administrative or regulatory body hearings that arise from the transactional and regulatory matters noted.
Among the key duties of this position are the following:
Assists with real estate and construction contracts by drafting, negotiating and reviewing leases, purchase and sale agreements, construction contracts, architect agreements, owner's representative agreements.
Reviews, negotiates and drafts all manners of commercial contracts in which Rutgers University will be a party for various units and divisions of the university.
Provides legal representation and advice to the Rutgers University Foundation including the negotiation of gift agreements, advice in connection with gifts, review of donor requests and bequests, and consultation to foundation staff.
Assists with and provides legal representation to other affiliated entities created by or supporting Rutgers University such as drafting bylaws, identifying conflicts and tax issues, and advice on operating such entities.
Assists the university tax department with legal review of tax regulations and provide advice on how tax regulations should be applied to various factual situations.
Involvement in other legal projects as requested by the General Counsel or other supervising attorneys, review and manage outside law firms for matters under this attorney's supervision, attend to office-wide reports and other administrative responsibilities that fall on attorneys within the Office of General Counsel.
Minimum Education and Experience:
A law degree (Juris Doctor, Master of Laws, Doctor of Juridical Science, etc.) from an accredited law school.
Seven (7) years of relevant experience and either be admitted to practice law in New Jersey or be admitted in another jurisdiction and be willing and able to become admitted in New Jersey as soon as practical.
