The Senior Vice President and Chief Legal Officer is responsible for providing legal and regulatory counsel and strategic advice to the Chief Executive Officer, the Board of Trustees, and senior leadership on relevant legal, business, business development, risk, regulatory and insurance issues. This individual will manage three areas – legal, audit and compliance and public affairs.
This leader will be responsible for regulatory relationships including representing the company before federal and state governmental agencies. They will review legal implications of various rulings, rate matters, and administrative regulations and will be responsible for legal provisions of reports required by law. This individual will be responsible for providing legal counsel and direction relative to business, legislative and regulatory issues and supporting the strategic and operational objectives of Blue Cross Blue Shield of Minnesota and its subsidiaries and affiliate organizations.
The SVP, Chief Legal Officer is responsible for directing strategies and programs to represent the corporation in legal matters involving federal, state, and local government and directing and managing all the company's legal strategies which can assist the company and the business subsidiaries to grow within related healthcare industries. This leader is accountable for the interaction between Aware Integrated Inc., Blue Cross, subsidiaries, affiliates, and external legal stakeholders in Minnesota and nationally as appropriate.
The SVP, Chief Legal Officer, will report to the Chief Executive Officer and will be a member of the Executive Leadership Team. Key internal relationships will be with the Executive Leadership Team, CEO, their divisional reports and associates, and board members. Key external relationships will be with legal counsel in firms selected by Blue Cross to represent its interest; healthcare aligned organizations; key stakeholder groups; and key opinion leaders, legislators/regulators, and influencers in Minnesota and nationally as appropriate. Other key external relationships will be with the national Blue Cross and Blue Shield Association, other Blue Cross Blue Shield plans, and relevant trade associations.
A Day in the Life:
Advise the Chief Executive Officer and senior leadership on all legal issues relative to business, legislative and regulatory topics.
Serve on the executive leadership team of the company. Provide advice and counsel on matters related to business strategy, including short-term and long-term strategic plans, and annual operating plans.
Set an ethical tone for conducting business and ensure that the company adheres to all applicable federal and state laws and regulations that govern it.
Direct the disposition of lawsuits by the company’s legal staff and outside counsel.
Select and manage outside counsels’ representation of company’s interests. Advise the CEO and Board Governance Committee on governance issues including applicable laws, regulations, and best practices as well as Blue Cross and Blue Shield Association regulations.
Participate in Board meetings for the corporation. Provide and coordinate legal services concerning business law, purchase agreements, contract negotiation, products and services, capital equipment leases and state and federal regulatory issues.
Prepare interpretations of contracts for the purpose of clarifying financial, legal, and administrative obligations. Review claim administration, managed care organization and care management service contracts, provider and facility agreements, joint marketing arrangements, confidentiality and non-disclosure agreements, network affiliate arrangements, and employment, consulting, and severance contracts.
Provide support to the business units in achievement of goals by providing legal, compliance and public policy perspectives on organizational issues and emerging trends.
Review, implement and interpret legislation and regulations impacting the company’s business.
Provide strategic vision for public affairs to support the mission, vision, and business objectives of the organization.
Provide leadership to the legal and compliance staff regarding legal, legislative, regulatory, and organizational issues, and oversee their professional development.
Work directly with all functional business unit executives and corporate support groups such as Community Affairs, Human Resources, Government Affairs, Sales, Marketing, Network Management, Health Management, and others as appropriate to advance strategic and operational objectives.
Identify and develop the talent within the Division and across the Company as a whole, while promoting diversity, equity, inclusion and belonging
Perform other related duties incidental to the work described and assigned by the Chief Executive Officer.
Additional Job Description Required Skills and Experiences:
Candidates will possess a Juris Doctorate degree, and a license to practice in Minnesota.
12+ years of experience as a corporate attorney managing complex business issues within the healthcare insurance industry, including 8+ years of experience as head of legal services.
Experience defining critical objectives with the capacity to understand, develop, and lead strategic and operational plans.
Significant experience with corporate law, especially M&A, litigation, and contracts as well as in-depth knowledge of compliance, regulatory and legislative issues.
Broad knowledge of complex business issues in healthcare and strong relationships with the Minnesota legal community.
Candidates must have previous experience managing multiple disciplines with a large span of control.
Candidates should be recognized experts within the legal arena. The position requires an individual with strong leadership ability, proven skills in diplomacy, and the ability to pursue goals with tenacity.
Candidates must demonstrate the ability to develop collaborative and high-level relationships with key stakeholders.
Candidates should possess the executive presence and expertise necessary to be viewed with confidence by staff, senior leadership, and the board.
