The Simons Foundation (“the Foundation”)has engaged Major, Lindsey & Africa on an exclusive basis to conduct a search for a General Counsel and Chief Compliance Officer.
Organization: The Simons Foundation is a private foundation established in 1994 in New York City by Jim and Marilyn Simons. With a $5 billion endowment and an annual budget of over $500 million, the Foundation's mission is to advance the frontiers of research in mathematics and the basic sciences. The Foundation pursues its mission through its grant-making division, comprising programs in Mathematics and Physical Sciences, Life Sciences, Outreach and Education, and autism research, and through its internal research division, the Flatiron Institute.
Position: The General Counsel and Chief Compliance Officer ("GC”) will serve as the principal legal and compliance officer for this mission-driven nonprofit, with overall responsibility for the leadership and direction of the Foundation's legal functions and needs. Reporting directly to the President, the GC will provide legal advice and counsel to Senior Leadership and the Board of Trustees and serve as the organization's primary representative and liaison with the community for all things legal. The GC will serve as Secretary to the Board of Trustees. The GC will also serve as the primary contact for and manager of outside legal counsel relationships.
Experience: The successful candidate will have a minimum of 15+ years of legal experience working at a combination of law firm, foundation, or large nonprofit organization, and possess a broad range of legal experience. These areas include compliance with laws and regulations applicable to private foundations, including nonprofit tax laws and grants; general corporate and transactional matters; commercial agreements; governance and compliance policies; employment law matters; real estate transactions; and intellectual property issues. Candidates with senior in-house counsel experience in the start-up and/or biotechnology space would also be considered.
