Overview
The Office of the Corporate Secretary operates within the Legal department (including Governance) and provides board and committee support as well as certain corporate governance services to key regional legal entities. You'll be working with internal and external senior level professionals to coordinate board and committee meetings, materials, and various forms of legal entity record keeping. Our Corporate Secretary team is also responsible for routine corporate housekeeping matters including incorporations, dissolutions, annual elections, bylaws reviews, and drafting of authorizing resolutions. The team also administered the process for grant of signing authority and power of attorneys for Deutsche Bank's U.S. legal entities .

What You'll Do
Provide Board and Committee meeting support (including preparation of materials, attendance, action items, and minute taking) and record-keeping
Manage the approval process, record keeping, and reporting for the Bank's authorized signatories and powers of attorney
Procure, upload, and maintain up-to-date information in internal database (Blueprint) related to the US Entities' corporate and governing documents such as certificates of incorporation, memorandum, and articles of association, minutes, Board and Shareholder meeting minutes, share certificates, and Board and Committee charters
Update Blueprint records for changes in Officers, Board membership, company name, or similar information
Upon request, prepare and issue Secretary's Certificates and copies of corporate documents such as certificates of incorporation, memorandum, and articles of association, extracts from Board minutes and other documentation related to the existence and operation of US Entities
Skills You'll Need
Juris Doctorate required. Admitted and in good standing in the state of New York
Good written and communication skills
Attention to detail, to ensure high quality and consistency of output
Intermediate level of understanding with MS Office suite
Experience as a corporate secretary or paralegal function is preferred
Skills That Will Help You Excel
Ability to communicate directly with senior regional management and independent directors
Experience engaging with stakeholders across all areas of the Bank on materials provided for Board Meetings
Expectations
It is the Bank's expectation that employees hired into this role will work in the New York office in accordance with the Bank's hybrid working model.

The salary range for this position in New York City is $85,000 to $140,000. Actual salaries may be based on a number of factors including, but not limited to, a candidate's skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
