POSITION DETAILS
The Office of the General Counsel (OGC) at The City University of New York (CUNY) is the system wide resource for legal advice and representation. The OGC assists CUNY???s decision makers in advancing the University???s educational mission by providing expert, relevant and timely legal advice, guidance and advocacy. The OGC provides legal assistance and advice to the Board of Trustees, the University???s central administration and its 25 constituent colleges, and its services touch all operational areas of the University and its campuses. The Office of the General Counsel seeks an experienced Corporate/Transactional Paralegal to perform essential advanced and confidential paralegal work supporting attorneys in the OGC???s Business Affairs Unit (BAU), and administrative duties supporting crucial office operating functions. The University Corporate/Transactional Paralegal assists CUNY attorneys in the BAU with complex, time sensitive legal, regulatory and compliance matters affecting the University and its colleges.
Reporting to the University Executive Deputy General Counsel, the Corporate/Transactional Paralegal performs significant paralegal duties. They will conduct initial contract reviews and draft contract documents; draft corporate governance documents, such as board resolutions, bylaws, and organization and dissolution papers; organize and maintain contract and real estate transaction files; notarize documents; conduct legal and factual research; and provide analytical and administrative support with various projects.
Other duties include, but will not be limited to the following:
- Make trademark and copyright registration and maintenance filings;
- Prepare and maintain form documents, as assigned;
- Review contracts and supporting documents, conduct reference checks, and prepare for signature;
- Monitor and update the form document resources on SharePoint site;
- Review and process student work study and clinical affiliation agreements between CUNY and third-party entities;
- Review and process Board of Trustees board resolutions;
- Support University access to NYC and NYS resources, such as PASSPort;
- Liaise with college Legal Affairs Designees.
NOTE: Until further notice, there is a hybrid work arrangement of on-site and remote work days.
QUALIFICATIONS
MINIMUM
Bachelor???s Degree and four years??? related experience required.
PREFERRED
- Four years of paralegal or legal assistant work experience supporting corporate/commercial transactions in a college, in-house legal department, law firm, government agency, or non-profit organization.
- New York State Notary Public certification or license.
- Experience establishing and managing complex filing systems and ability to organize and analyze large volumes of information and documents.
- Strong organizational and project management skills to effectively coordinate and execute complex legal processes and activities, adapt to changing priorities, manage competing demands, and meet deadlines.
- Accurate, detail and solution-oriented with strong legal research, writing, analytical and problem solving skills.
- Proactive, flexible and collaborative work style with strong interpersonal communication and presentation skills to foster successful relationships with diverse campus and University staff, as well as external constituents.
- Commitment to public service, service excellence and professional integrity to manage sensitive information, perform confidential work and exercise sound judgement with ability to thrive in a demanding time-sensitive office.
- Computer proficiency using online legal research, administrative, and financial systems, databases, and programs, plus Microsoft Office programs, and virtual meeting/conferencing and collaboration tools.
- Flexibility to work some evening hours.

City of New York employees and employees of Participating Employers and their eligible dependents hired on or after July 1, 2019 will only be eligible to enroll in the EmblemHealth HIP HMO Preferred Plan and must remain in the HIP HMO Preferred Plan for the first year (365 days) of employment.
After 365 days of employment, the employee will have the option of either remaining in the HIP HMO Preferred Plan or selecting a different health plan within 30 days before the end of the 365th day period. If a new health plan is selected, the new plan will be effective on the 366th day.
Only after the 365th day can the employee participate in any Annual Fall Transfer Period.
An employee who needs to request an exemption from the required enrollment in the HIP HMO Preferred Plan can do so by submitting a HIP HMO Opt-Out Request Form to EmblemHealth. An employee, or eligible dependent, must meet certain criteria and the request must be approved by EmblemHealth before the exemption is granted. The HIP HMO Opt-Out Request Form and HIP service area are available on the EmblemHealth website.
